Only the verbiage, photos, images, logos, databases and graphics provided specifically by the Client, in writing, for use on their website are the intellectual property of the Client.

NO ROYALTIES, FEES, COMMISSIONS, OR OTHERWISE SHALL BE PAID TO THE CLIENT FOR ANY *SERVICE* OFFERED BY *COMPANY* INCLUDING WEBSITE DESIGN, WEB HOSTING, WEB *SERVICE*S, COMPUTER CONSULTING, SPEAKING, CLASSES, SOFTWARE SYSTEMS, PROGRAMMING, AND ALL OTHER *SERVICE*S OFFERED NOW OR IN THE FUTURE BY *COMPANY*.

INDEMNIFICATION: Client agrees that it shall indemnify *COMPANY* and hold harmless with respect to client's or client's employees' use of advice, materials or training provided by *COMPANY*.

LIABILITY: Client agrees that it shall have no claim against *COMPANY* for damages of any description relative to this agreement in absence of gross negligence or willful, wanton or malicious conduct by *COMPANY* or its representatives and employees.

ATTORNEY FEES: In the event it is necessary for *COMPANY* to retain an attorney to enforce the terms of this agreement, it is agreed that the party prevailing in litigation shall be entitled to recover its reasonable attorney's fees from the other party.

CONFIDENTIALITY: As part of *COMPANY*'s service to the Client, *COMPANY* may learn confidential and/or proprietary information about the Client. *COMPANY* agrees to keep all such information confidential and not disclose such information to any third party. This confidentiality agreement extends beyond the termination of this Agreement.

INTEGRATION: This Agreement contains the entire understanding of the parties hereto relating to the subject matter hereof and cannot be changed or terminated orally.
